This Licensing Agreement ("Agreement") governs the rights and obligations of practitioners who hold a North Star Protocol delivery licence ("Licensee"). By accepting a licence, you agree to be bound by the terms below. A personalised copy of this Agreement will be provided to each approved Licensee upon onboarding.
Subject to the terms of this Agreement and payment of the applicable licence fee, North Star Protocol grants the Licensee a non-exclusive, non-transferable licence to deliver the North Star Protocol program(s) specified in the Licensee's approved application to clients within the scope of their licence tier.
This licence does not constitute a transfer of ownership of any intellectual property. All rights not expressly granted are reserved by North Star Protocol.
The Licensee's specific scope is confirmed in their individual licence agreement. Delivery outside the scope of the applicable tier is a material breach of this Agreement.

All program content, including session scripts, video recordings, audio recordings, workbooks, facilitator guides, and associated materials, remains the exclusive intellectual property of North Star Protocol and its founders. The Licensee acquires no ownership rights in any materials provided under this Agreement.
The Licensee agrees not to challenge or assist any third party in challenging North Star Protocol's intellectual property rights.
Unless the Licensee holds an Organisation Licence with white-label rights, all delivery of North Star Protocol programs must clearly acknowledge North Star Protocol as the source of the program content. Acceptable attribution includes a statement such as: "Delivered under licence from North Star Protocol."
Licensees may not use the North Star Protocol name, logo, or compass mark in a way that suggests ownership or endorsement beyond the scope of the licence without prior written approval.
Foundation and Practitioner Licences are granted for an initial term of twelve (12) months from the date of activation. Licences may be renewed annually subject to payment of the renewal fee and compliance with this Agreement. North Star Protocol will provide renewal notice no less than thirty (30) days before the expiry date.
Organisation Licences are granted for the term specified in the individual agreement and are renewable on terms agreed in writing.
North Star Protocol may terminate this licence immediately upon written notice if the Licensee:
Upon termination, the Licensee must immediately cease all use and delivery of licensed materials and destroy or return any copies of program materials in their possession.
The Licensee represents and warrants that:
To the maximum extent permitted by law, North Star Protocol's liability to the Licensee under this Agreement is limited to the licence fee paid in the twelve months preceding the relevant claim. North Star Protocol is not liable for any indirect, consequential, or special damages arising from the Licensee's delivery of program content.
The Licensee indemnifies North Star Protocol against any claim arising from their delivery of the programs, including claims by clients or third parties.
This Agreement is governed by the laws of the State of Victoria, Australia. Any dispute arising under this Agreement shall be resolved through good-faith negotiation in the first instance, and if unresolved, through mediation in Melbourne, Victoria before recourse to litigation.

Participants experiencing acute mental health difficulties, crisis, trauma, or clinical-level psychological distress are encouraged to seek support from a registered mental health professional.
